Terms and Conditions

Acceptance of Terms

By accessing the Team Telous website, contacting us, requesting a quotation, accepting a proposal, entering into an agreement, making a payment, or using our services, you agree to these Terms and Conditions.

If you do not agree with these Terms and Conditions, you should not use our website or services.

Relationship With Quotations, Proposals, Invoices, and Agreements

For specific customer projects or services, Team Telous may provide a quotation, proposal, invoice, service agreement, project agreement, statement of work, maintenance agreement, or other project-specific document.

Those project-specific documents may include specific terms related to scope, deliverables, milestones, timelines, payment terms, refund terms, cancellation terms, support, maintenance, ownership, responsibilities, and special conditions.

Where a signed or accepted project-specific document contains terms that are different from these Terms and Conditions, the terms in the signed or accepted project-specific document will apply to that specific project or service.

These Terms and Conditions will continue to apply to general website use, general service use, and any matters not specifically covered in the relevant project-specific document.

Services

Team Telous provides digital and technology-related services, which may include website development, custom software development, ERP solutions, IoT solutions, AI solutions, workflow management systems, social media services, maintenance, support, consulting, and related services.

The exact scope, deliverables, timeline, pricing, payment schedule, and responsibilities for a specific project or service will be stated in the relevant quotation, proposal, invoice, agreement, statement of work, or project communication.

Client Responsibilities and Delays

Clients are responsible for providing required information, approvals, content, access, credentials, feedback, and payments on time.

Team Telous will not be responsible for delays caused by late client responses, incomplete information, delayed approvals, incorrect credentials, restricted access, third-party service issues, or changes requested by the client.

If a project is delayed due to the client, Team Telous may revise timelines, costs, milestones, delivery dates, or project availability.

If a client does not respond or provide required input for an extended period, Team Telous may pause the project until the required information, approval, access, or payment is provided.

Payment Terms

Payments must be made according to the payment schedule, due dates, and amounts stated in the relevant quotation, proposal, invoice, agreement, or statement of work.

Team Telous may pause, suspend, or delay project work, delivery, support, maintenance, hosting assistance, or access to services if payments are not received by the agreed due date.

Any deposit, advance payment, milestone payment, setup fee, or third-party cost may be non-refundable once work has started, unless otherwise stated in the applicable project-specific document.

The client is responsible for ensuring payments are made on time and that payment confirmation is shared with Team Telous where required.

Late payments may result in revised timelines, delayed delivery, suspended support, or additional administrative charges where permitted by law and stated in the applicable invoice, quotation, proposal, or agreement.

Refunds and Cancellations

Refunds and cancellations are handled according to the Team Telous Refund Policy and any specific refund or cancellation terms stated in the applicable quotation, proposal, invoice, agreement, or statement of work.

Where a project-specific document contains different refund or cancellation terms, those project-specific terms will apply to that specific project or service.

Completed work, approved milestones, third-party costs, setup fees, consultation fees, and services already provided may be non-refundable unless otherwise stated in writing.

Change Requests and Additional Work

Any work not included in the agreed quotation, proposal, agreement, or statement of work will be treated as additional work.

Additional work may require a new quotation, revised proposal, additional invoice, revised timeline, or written approval before work begins.

Team Telous is not required to perform work outside the agreed scope unless both parties agree in writing.

Examples of additional work may include new features, design changes, additional pages, new integrations, extra revisions, extra reports, new automation flows, additional testing, additional documentation, new content, third-party configuration, or changes requested after approval.

Deliverable Review and Approval

Clients are responsible for reviewing deliverables within the review period stated in the quotation, proposal, agreement, or project communication.

A deliverable may be considered accepted or approved if the client confirms approval in writing, uses the deliverable, requests deployment or publishing, deploys the deliverable to a live environment, makes the next milestone payment, or does not raise an issue within the agreed review period.

After approval, further changes may be treated as additional work and may require a revised quotation, additional invoice, or revised timeline.

Third-Party Services

Some services may require third-party platforms, tools, software, plugins, APIs, hosting, domains, cloud services, payment gateways, social media platforms, advertising platforms, analytics tools, or external vendors.

Team Telous is not responsible for failures, downtime, pricing changes, policy changes, account restrictions, service interruptions, data loss, compatibility issues, or limitations caused by third-party providers.

Third-party costs are the client’s responsibility unless otherwise stated in the quotation, proposal, invoice, or agreement.

Third-party services may be subject to their own terms, privacy policies, payment terms, cancellation terms, and refund policies.

Intellectual Property and Ownership

Ownership of final custom deliverables transfers to the client only after full payment has been received, unless otherwise stated in the relevant quotation, proposal, agreement, or statement of work.

Until full payment is completed, Team Telous may retain ownership, access control, or delivery control over project files, source code, designs, documentation, systems, configurations, or other deliverables.

Unless specifically agreed in writing, Team Telous may retain ownership of reusable code, internal tools, frameworks, libraries, templates, development methods, workflows, know-how, generic components, and pre-existing intellectual property.

The client must ensure that any content, images, logos, brand assets, data, or materials provided to Team Telous are legally owned by the client or properly licensed for use.

Confidentiality

Team Telous will treat client project information, business information, credentials, documents, project files, system access details, and project communications as confidential, unless the information is publicly available, already known without confidentiality restrictions, approved for disclosure by the client, or disclosure is required by law.

Clients must also keep Team Telous proposals, quotations, pricing details, internal processes, technical documents, credentials, and confidential communication private unless disclosure is approved in writing.

Confidentiality obligations may also be further defined in the relevant quotation, proposal, agreement, statement of work, or non-disclosure agreement.

Portfolio and Case Studies

Unless the client requests otherwise in writing, Team Telous may mention the client name, project type, general description, screenshots, or non-confidential project details in its portfolio, case studies, proposals, or marketing materials.

Team Telous will not disclose confidential business information, sensitive data, credentials, private project data, or internal system information without permission.

User Conduct

Users and clients must not misuse the Team Telous website, services, systems, communication channels, or project resources.

Users must not attempt unauthorized access, interfere with systems, upload harmful content, violate laws, infringe intellectual property rights, or use Team Telous services for illegal, harmful, or abusive purposes.

Termination of Services

Team Telous may suspend or terminate services if the client fails to make payments, breaches these Terms and Conditions, misuses services, provides false information, delays the project unreasonably, violates applicable laws, or fails to follow the terms stated in the relevant quotation, proposal, invoice, or agreement.

The client may request cancellation according to the applicable quotation, proposal, agreement, refund policy, or other project-specific document.

Termination does not remove the client’s responsibility to pay for completed work, approved milestones, third-party costs, non-refundable costs, or outstanding invoices.

After termination, Team Telous may limit or remove access to project resources, support, maintenance, hosting assistance, or services, subject to the applicable agreement and payment status.

Limitation of Liability

To the maximum extent permitted by applicable law, Team Telous will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of business, loss of data, loss of goodwill, service interruption, or third-party platform issues.

Team Telous will not be responsible for losses caused by client delays, incorrect information, unauthorized access provided by the client, third-party service failures, hosting issues, domain issues, payment gateway issues, social media platform restrictions, cloud provider issues, or changes made by parties other than Team Telous.

Nothing in these Terms and Conditions limits liability that cannot be excluded under applicable law.

Warranty Disclaimer

Team Telous aims to provide high-quality services, but we do not guarantee that any website, software, system, campaign, automation, integration, or service will be error-free, uninterrupted, fully secure, or compatible with all future third-party changes.

Service outcomes may depend on client cooperation, third-party platforms, hosting providers, internet connectivity, business processes, user behavior, market conditions, and other external factors.

Any specific warranty, support period, maintenance commitment, or service-level commitment must be stated in the relevant quotation, proposal, agreement, or statement of work.

Governing Law

These Terms and Conditions are governed by the applicable laws of Sri Lanka, unless a different governing law is clearly stated in a signed agreement.

Changes to Terms

We reserve the right to update, modify, or replace these Terms and Conditions at any time. Any changes will be posted on this page with an updated “Last Updated” date.

For general website updates, posting the revised Terms and Conditions on this page will be considered sufficient notice.

For important changes that directly affect active customers, ongoing projects, payments, deliverables, support, maintenance, scope, timelines, cancellation terms, or service responsibilities, Team Telous may also notify customers through email, phone, WhatsApp, official project communication channels, or other contact details provided by the customer.

Where a customer has received or accepted a quotation, proposal, invoice, service agreement, project agreement, statement of work, maintenance agreement, or any other project-specific document, the terms in those documents will apply together with these Terms and Conditions.

If there is any conflict between these Terms and Conditions and a signed or accepted project-specific document, the terms in the signed or accepted project-specific document will apply to that specific project or service.

Your continued use of our website or services after updated terms are posted or communicated to you constitutes your acceptance of the revised Terms and Conditions, unless a separate written agreement states otherwise.
